The Binder — Data Room and Diligence Readiness
Air-gapped
By Stephen Brownell

The Binder —

The company’s files kept the way a lender’s, an investor’s or a buyer’s counsel will ask for them: one folder standard, the documents each folder must hold at each stage, and a readiness score for the three transactions that will ask. Kept in this browser and in the files you save; nothing is sent anywhere.

The Binder is a filing standard and a readiness check, not legal advice, and no attorney-client relationship is formed by using it. The request lists are the ones counsel usually sends; the one you receive will differ, and the score measures your files against the standard, not against any particular deal. Nothing you type here is transmitted anywhere. The tool makes no network call and runs entirely in your browser; the binder lives in this browser's storage if you leave that on, and in the files you save. Clear it before you hand the machine to anyone.
